Menold Bezler advises Egeria on the sale of Klafs Group
Menold Bezler has advised investment company Egeria on the sale of Klafs Group from Schwäbisch Hall to the US kitchen and bathroom manufacturer Kohler Co. The agreement signed on 1 December is still subject to the usual antitrust approvals.
Founded in 1928, Klafs GmbH is now a market-leading manufacturer of saunas, steam baths, spa products and pools and employs more than 850 people. The company will join Kohler's luxury brand division and drive expansion into the North American market.
Egeria is an independent investment company that focuses on medium-sized companies and invests in healthy companies with an enterprise value of between 50 and 350 million euros. Egeria's portfolio companies have a total turnover of approximately 2.5 billion euros and employ almost 13,000 people.
A Menold Bezler team led by partner Vladimir Cutura advised Egeria on all legal aspects of the sale. The law firm had already been mandated by Klafs since 1992 and advised the then shareholders of Klafs on the sale to Egeria in 2020/2021, among other things. The law firm also played a leading role in Klafs' subsequent add-on acquisitions in the UK (Guncast Swimming Pool Ltd.) as well as Spain and Mexico (Prim Spa) and handled the transactions together with its partner law firms from the international network.
